DESCRIPTION

Compliance with the Companies Act is mandatory and directors, through the company secretary or company compliance officer, have a duty to ensure that the company complies with relevant sections of the Companies Act at all times!

Compliance with  Section 50 of the Companies Act 71 of 2008 is a case in point. This Section requires every registered company to maintain an up-to-date share register. Recent statistics indicate that less than 10% of companies comply with this requirement, which means that the majority of your clients are non-compliant!

This was the reality when the CIPC mandated the compliance checklist earlier this year. Moving forward, you can expect share registers to be sought after by clients as the CIPC makes a stricter call on this requirement.  In fact, the CIPC may even require companies to submit a share register as part of their annual returns, according to Clause 8 of the Companies Amendment Bill of 2018.
